Financial Promotions

The information contained in the private areas of this website  ("the Information") has not been approved by a person authorised by the Financial Services Authority for the purposes of Section 21 of the Financial Services and Markets Act 2000 ("FSMA").  The Information is exempt from the restriction on the communication of invitations or inducements to engage in investment activity (in Section 21 of FSMA) on the grounds that the communication is made to or directed at certified high net worth individuals and self-certified sophisticated investors, or otherwise to persons to whom this Information may lawfully be communicated.  The requirements for someone to qualify as a certified high net worth individual or a sophisticated investor are as follows:

 A "certified high net worth individual" is an individual who has signed, within the preceding 12 months, a statement complying with Part I, Schedule 5 of the FSMA (Financial Promotion) Order 2005 ("FPO") and which requires, amongst other things, the individual to certify that he/she had, during the immediately preceding financial year, an annual income to the value of £100,000 or more or net assets (not including any property which is his primary residence, life policies and pension benefits) of £250,000 or more.

 A "self-certified sophisticated investor" is an individual who has signed, within the previous 12 months, a statement complying with Part II, Schedule 5 of the FPO, under which he certifies that at least one of the following applies to him:

(a)        he/she is a member of a network or syndicate of business angels and has been so for at least the last six months prior to the date of the certificate;

(b)        he/she has made more than one investment in an unlisted company in the preceding two years;

(c)        he/she works, or has worked in the two preceding years, in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises; or

(d)        he/she is currently, or has been in the preceding two years, a director of a company with an annual turnover of at least £1,000,000.

Any individual who is in any doubt about investments to which the Information relates should consult a person authorised under the FSMA specialising in advising on investments of the kind in question.
